Southern Idaho Off-Road Association - By-laws
Article 1
  1. This organization shall be known as Southern Idaho Off-Road Association.
Article 2: Objectives
  1. The Southern Idaho Off-Road Association is a non-profit organization for the purpose of:
    1. Providing social, educational and recreational activities for its membership.
    2. Participating in and supporting civic activities for the betterment of the community.
Article 3: Membership and Dues
  1. Owners of four-wheel drive vehicles are eligible for membership in the Southern Idaho Off-Road Association.
  2. Each membership includes the immediate family; however, voting power is restricted to family members eighteen years of age or older (one vote per membership).
  3. Applicants for membership must be at least eighteen years of age.
  4. All members must conduct themselves in a respectable fashion whether in or out of club activities. Any member disgracing themselves in the public eye will be subject to immediate expulsion by majority vote.
  5. Applicants must attend two activities (club meetings and/or runs) before being issued an application. The application shall be filled out and submitted to the executive committee. Potential members will be voted in by active club members, and dues are due upon acceptance.
  6. Annual dues are payable on the third Thursday of January to be considered in good standing. Members who fail to pay dues by the March meeting will incur a $20.00 late fee; after 60 days in arrears, the member shall be dropped from the rolls and removed from the private Facebook page. Reinstatement is available upon full payment of unpaid dues. Bad check fees are $25.00.
  7. All personal expenses such as uniforms, decals, insignia, etc., shall be borne by the individual member.
  8. Members shall immediately notify the Secretary of any change of address, mailing address, or telephone number.
  9. Resignation must be submitted in writing to the Secretary. Upon resignation or sale of the vehicle, any insignia or stickers shall be removed. All dues are non-refundable; for membership of six months or less, dues will be half of the normal amount.
Article 4
  1. Members who adopt and sign these by-laws on or before the ninth day of February, 1999, shall be known as charter members.
Article 5: Meetings
  1. Meetings shall be held monthly on the third Thursday at 7:00pm at the designated meeting place, unless otherwise notified.
  2. A voting quorum is defined as 51% of the present, in good standing members. Members unable to attend may vote by proxy (via email or physical copy) given to an executive committee member prior to the meeting.
Article 6: Administration of Officers
The officers, consisting of a President, Vice-President, Secretary, and Treasurer (the Executive Committee), are responsible for preparing meeting agendas and, in emergencies, performing the duties of the Board of Directors.
  1. The term of office shall be one (1) year.
  2. No officer shall be added except by a majority vote of the entire membership.
Article 7: Duties and Powers of Officers
  1. President: Presides over all meetings and events, acting as the Executive Officer to implement policies. The President does not vote except in the event of a tie.
  2. Vice-President: Serves in the President's absence, acts as Parliamentarian, and performs additional duties as assigned.
  3. Secretary: Keeps records and minutes of meetings, tracks membership attendance for quorum purposes, maintains membership files, and handles general correspondence.
  4. Treasurer: Manages club funds, records all monetary transactions, and prepares financial reports and budgets, including receipts and disbursements for the past six months and an annual report.
Article 8: Expenditures and Finance
  1. All monies received shall be turned over to the Treasurer for deposit in the association's checking account.
  2. No funds shall be withdrawn without approval from the Executive Committee or Board of Directors. Expenditures or reimbursements under $500.00 can be approved by the Executive Committee; those exceeding $501.00 require approval by a voting quorum. All expenditures shall be made by check, with the purpose clearly stated.
Article 9: Committees/Volunteers
  1. Committees shall be designated by the Executive Committee, and each will appoint a chairperson responsible for its activities and reporting to the Executive Committee.
Article 10: Election of Officers
  1. The membership shall elect officers and directors at the regular December meeting for the following fiscal year, with newly elected officers taking office on January 1st. Voting must be in person.
  2. Nominations for the Executive Committee shall be made from the floor. Candidates must be regular members in good standing.
  3. Balloting for each office shall be conducted separately by secret ballot.
  4. A majority of votes cast is required for election.
  5. In the event of a vacancy, an election shall be held at the next monthly meeting.
Article 11: Recall
  1. Any officer or director may be recalled by a two-thirds (2/3) majority vote of the entire membership.
Article 12: Events
  1. All events require approval by the Executive Committee and will be led by an appointed trip leader.
  2. All members, including officers, must follow the direction of the appointed trip leader and their assistants from start to finish. No member or officer may demand an unscheduled stop or route change.
  3. Events must be orderly and prioritize safety. All participating members must attend the drivers meeting and adhere to the following requirements:
    1. A. Minimum liability insurance on the vehicle is mandatory.
    2. B. Tow hooks or approved recovery points on both ends.
    3. C. Tow straps without metal hooks, in good condition, without chains.
    4. D. Spare tire or adequate repair means.
    5. E. Tools to change a tire.
    6. F. Functional jack (capable of lifting the vehicle).
    7. G. Roll cage (for open-topped vehicles) is mandatory.
    8. H. Seatbelts or approved safety harness (worn by all occupants) is mandatory.
    9. I. Fire extinguisher (charged).
    10. J. Basic hand tools.
    11. K. Working headlights, brake lights, and taillights.
    12. L. Secure battery hold-downs (no bungee cords).
    13. M. First Aid Kit.
  4. No member or guest under the age of 18 may drive in any event unless accompanied by a parent or legal guardian. Any guest is the responsibility of the inviting member.
  5. All competitive events shall be supervised by the Executive Committee and/or Board of Directors. They will determine classifications, regulations, and approve trophies or awards. Anyone deemed physically or mentally unfit will be disqualified. Vehicles may be disqualified if mechanically unsafe.
  6. Members and guests must comply with state motor vehicle codes and local laws. Irresponsible driving or flagrant violations may result in revoked privileges or expulsion.
  7. Trail leadership may remove a member from an event for irresponsible behavior or misconduct.
Article 13: Rules and Procedures
  1. Unless otherwise specified, Roberts' Rules of Order Revised shall govern parliamentary procedure.
Article 14: Amendments
  1. These by-laws may be amended by a two-thirds (2/3) majority vote at a regular meeting, provided a quorum is present. Amendments must be presented at the preceding meeting.
